Terms of Service

Effective July 7, 2026


1. Agreement to these Terms

These Terms of Service (the “Terms”) are a binding agreement between you and Hongtai Ventures (the “Operator”, “we”, “us”), the operator of Shopperquest at shopperquest.app (the “Service”). By creating an account, accessing a client portal or shared link, or otherwise using the Service, you accept these Terms and our Privacy Policy. If you use the Service on behalf of a business, you represent that you have authority to bind that business, and “you” includes it.

2. What Shopperquest is — and is not

Shopperquest is software that helps personal shoppers (“Shoppers”) run their business: managing requests, quotes, invoices, orders, storefronts, and communication with their customers (“Clients”).

Shopperquest is not a marketplace, retailer, escrow service, payment processor, money transmitter, broker, or agent of any Shopper or Client. Specifically:

  • Every transaction is solely between a Shopper and their Client. We are not a party to it and have no responsibility for it.
  • No payments flow through the Service. Invoices carry a payment link the Shopper provides; marking an invoice paid is a record-keeping action by the Shopper, not a confirmation of payment by us.
  • We do not inspect, verify, or guarantee any goods, their authenticity, pricing, legality, condition, customs treatment, or delivery.
  • We do not vet Shoppers or Clients and make no representation about any user of the Service.

3. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You agree to provide accurate account information, keep your credentials secure, and notify us promptly of any unauthorized use. You are responsible for all activity under your account, including actions of anyone you allow to use it.

4. Acceptable use

You agree to comply with all applicable laws — including consumer protection, customs, import/export, sanctions, and tax laws — and not to:

  • source, offer, or facilitate counterfeit, trademark-infringing, stolen, or illegal goods, or goods you are not lawfully permitted to sell or export;
  • misrepresent goods, prices, or your identity, or engage in fraud or deceptive practices;
  • send spam or unsolicited communications through the Service;
  • upload content that is unlawful, infringing, or malicious (including malware);
  • probe, disrupt, overload, or circumvent the Service's security or access controls, or access another workspace's data;
  • scrape, harvest, resell, or reverse engineer the Service except as permitted by law.

We may investigate suspected violations and may remove content, suspend, or terminate accounts as described in Section 11.

5. Your content

You retain ownership of the content you submit to the Service (“Content”). You grant the Operator a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, display, and transmit your Content solely as needed to operate, provide, secure, and improve the Service — including displaying storefront content publicly at your direction and sharing documents with the Clients you send them to. You represent that you have all rights necessary to submit your Content and to grant this license. If you send us feedback, we may use it without restriction or compensation.

6. Client data responsibilities

Shoppers control the personal information they enter or receive about their Clients. As between you and the Operator, you are the data controller of that information, and you represent that you have a lawful basis (including any required consent) to collect it, enter it into the Service, and use it. You agree to use Client information only in connection with your business with that Client, and to handle any privacy requests from your Clients as required by applicable law.

7. AI features

The Service offers AI-assisted features, such as parsing requests and drafting or automatically sending support replies. AI output is generated automatically, may be inaccurate or incomplete, and is not professional advice. You are responsible for reviewing AI output before relying on it, and for the configuration you choose — including any mode that sends AI replies to your Clients without your review. We may modify or withdraw AI features at any time.

8. Fees

Parts of the Service may be offered free of charge, including during early access. We may introduce fees, or change existing fees, prospectively with at least 30 days’ notice by email or in-app notice. Continued use of the affected features after a fee change takes effect constitutes acceptance. Fees you owe your Clients, or they owe you, are your own affair (Section 2).

9. Third-party services

The Service interoperates with third-party services — for example payment links you provide, Google sign-in, shipping carriers, and email delivery. Those services are governed by their own terms, and we are not responsible for them. A link from the Service is not an endorsement.

10. Intellectual property

The Service — including its software, design, and the Shopperquest name and marks — belongs to the Operator and its licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service in accordance with these Terms. No other rights are granted.

11. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access immediately if you breach these Terms, if your use creates legal or security risk, or if required by law — and otherwise on reasonable notice. On closure you may export your data using the Service’s export tools for 30 days, after which we may delete it. Sections 2, 5, 6, and 12 through 17 survive termination.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE MAKE NO WARRANTY REGARDING ANY GOODS, ANY TRANSACTION BETWEEN A SHOPPER AND A CLIENT, OR THE CONDUCT OF ANY USER.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) THE OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) THE OPERATOR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR CAD $100. Some jurisdictions do not allow certain limitations; in those jurisdictions, these limitations apply to the fullest extent permitted.

14. Indemnification

You will defend, indemnify, and hold harmless the Operator and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: your Content; your transactions or disputes with Clients or Shoppers; your breach of these Terms; or your violation of law or of a third party’s rights.

15. Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at legal@shopperquest.app and attempt in good faith to resolve the dispute informally for 30 days. Any dispute that cannot be resolved informally will be brought exclusively in the courts located in British Columbia, Canada, and each party consents to their jurisdiction. Nothing in this section limits rights that consumer law grants you in your place of residence where those rights cannot be contractually waived.

16. Changes to these Terms

We may update these Terms. For material changes we will give at least 14 days’ notice by email or in-app notice before the new Terms take effect. Continued use of the Service after the effective date constitutes acceptance. The “Effective” date above reflects the latest revision.

17. General

These Terms and the Privacy Policy are the entire agreement between you and the Operator regarding the Service. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure caused by events beyond its reasonable control. These Terms are drafted in English; translations are provided for convenience and the English version governs.
